Mergers & Acquisitions (M&A) Tax Senior Manager (Los Angeles, CA)

Our experienced M&A tax services team—made up of former IRS employees, tax practitioners from the Big Four accounting firms, and tax attorneys from nationally prominent law firms—has a unique understanding of the tax code and its provisions that address business transactions. We’re members of and frequent speakers at the American Institute of Certified Public Accountants, the American Bar Association, the Federal Bar Association, and a number of other organizations.

We work with many corporations to help them ease their tax burden in a wide range of transactions, including stock-for-stock exchanges and incorporation events. Clients often seek our support to verify the availability of net operating loss carryforwards to an acquiring company or to the seller if the latter plans to use them to offset gain triggered in the transaction.

About The Opportunity

As a member of our team, you’ll be involved with working closely with private equity firms, public and privately held companies, advising them on tax structuring matters, financial and tax due diligence, and assistance with closing M&A transactions.

Responsibilities:

  • Develops, grows and serves as a firm technical resource for the U.S. income tax aspects of financial due diligence and mergers and acquisitions (M&A)
  • Leverages technical knowledge and experience to provide effective project management and practice development; delivering timely and responsive services and products that meet and/or exceed client expectations
  • Significant involvement in firm’s private equity practice, including building relationships and delivery of services
  • Assists with proposals and business development, including the development of marketing materials and web-based marketing initiatives
  • Writes and/or co-authors due diligence and M&A articles for publication
  • Develops and participates in public speaking opportunities at tax conferences and events

Qualifications:

  • Bachelor’s degree required; Master’s degree in Taxation or JD with LLM in Tax preferred
  • Minimum 7 years of tax experience; preferably gained within a public accounting firm
  • Minimum of 2 years of specialized in Transaction Services experience, specifically including financial due diligence and mergers and acquisition tax consulting
  • Previous experience in specializing in Transaction Services experience, specifically including financial due diligence and mergers and acquisition tax consulting required
  • Previous experience with modelling the potential tax consequences of a transaction
  • Significant experience working with Private Equity
  • Possesses ability to analyze complex business and transaction situations
  • Experience supervising and training staff
  • Strong project management and organizational skills
  • Excellent interpersonal and verbal & written communication skills
  • Strong presentation skills and strong organizational techniques
  • Able to work effectively both as part of a team and independently
  • Able to handle multiple priorities, tasks and simultaneous projects
  • Able to attain visibility and recognition firm wide within your specialization
  • Must be willing and able to travel up to 20% domestically and internationally
