Senior Director of Tax (New Jersey Area)

TaxConnections has recently been retained to conduct a search for a Senior Director of Tax for a publically listed regulated company in the New Jersey area. With a presence in more than 46 U.S. states and Canada this company employs more than 7,000 professionals. Our client seeks a tax executive with experience in a regulated industry to lead and develop a strong tax team.

Key Responsibilities:

  • Leads departmental research initiatives and interprets tax law; defines and implements corporate tax strategies, policies and standard operating procedures to ensure on-going compliance with statutory tax laws; manages exposure to risk; maximizes and leverages tax benefits and minimizes the company’s overall tax liability within a regulatory industry and rate case construct.
  • Anticipates and plans for developing and upcoming tax issues, and communicates them effectively to senior executives.
  • Ensures that the performance of the tax reporting and compliance staff results in the prompt and accurate processing and filing of the relevant tax returns and manage payment of the relevant taxes to the relevant tax authorities on time.
  • Reviews extraordinary tax audit, sox compliance and litigation issues.
  • Prepares, articulates, negotiates or mediates with tax authorities to reach a favorable settlement.
  • In the capacity as the top internal tax consultant and advisor, provides tax advice, planning options and opportunities related to merger and acquisitions, new service products and/or other business initiatives.
  • Manages the performance of people in the department, which includes interviewing, on boarding, performance reviews, coaching, counseling and career development, etc. to ensure the continued overall improvement in employee performance.
  • Overall accountability for the performance and results of the tax reporting and tax compliance team; and for the tax affairs of the company in support of the financial strategies and objectives.
  • Defines and integrates tax strategies to ensure company maintains a fully compliant and advantageous tax position.

Key Competencies:

  • Demonstrated knowledge and hands-on approach and success in working in a highly matrixed organization.
  • Ability to manage competing priorities and the pressures associated with tax filings and general business demands.
  • Strong analytical and problem solving skills.
  • Ability to develop “Best Practice” processes, implements, and maintains those processes to ensure maximum efficiency and accuracy.

Education/Experience:

  • Requires a Bachelor’s degree with graduate degree, a JD degree or CPA highly preferred.
  • At least 10-15 years of experience in technical income tax with at least 5 years progressive experience managing people and leading teams. Regulated industry experience required.

 Director of Tax (North Dakota)

Our client seeks a tax executive with experience in a regulated industry to lead and develop a strong tax team. Key Responsibilities:

  • Provide overall management of the corporation’s tax department, including income, property and other taxes applicable to regulated company and its subsidiaries (excluding payroll taxes).
  • Exercise responsibility for compliance with income and other tax laws and regulations while ensuring all prescribed deadlines are met.
  • Develop and implement income tax policy and planning strategies and initiatives to minimize tax liabilities and maximize cash flow.
  • Exercise responsibility for complying with all tax accounting (excluding payroll taxes) in accordance with Generally Accepted Accounting Principles and other regulatory requirements, including the maintenance of proper deferral accounts and coordinating, as necessary, with the company’s internal and external auditors.

  • Provide guidance to business development teams on the structure of acquisitions and divestitures to ensure the most efficient tax structure. Lead and complete tax-related due diligence procedures on acquisitions.
  • Maintain an adequate internal control environment for all tax-related processes.
  • Responsible for the efficient use of financial systems and technologies to achieve department objectives in the most effective manner.
  • Responsible for researching (or evaluating), developing and implementing income tax policy and planning strategies.
  • Directs and manages the activities of the corporation’s tax department, which includes overall responsibility for all tax compliance and tax accounting for regulated company and its subsidiaries, ensuring compliance with all federal, state, and local tax regulations, as well as Generally Accepted Accounting Principles (GAAP).
  • Responsible for overseeing the preparation and review of tax returns, managing audits and providing tax information and testimony to outside parties including auditors and regulatory agencies

Key Competencies:

  • Knowledge of federal and state income, property, sales and use tax statues, court decisions, practices, rules and regulations.
  • Analyze and evaluate tax laws, decisions, regulations, and rulings and recommend and/or implement procedures to minimize corporate taxes.

Key Responsibilities:

The Tax Director will be responsible for overseeing and managing relationships with external and internal business partners to improve processes and procedures for the tax organization. The individual must have the ability to identify areas of risk and tax opportunity for the company in all areas of international, federal, state, local, sales and use tax.  The Tax Director role involves a wide range of domestic and international tax matters including consolidated income tax provision, tax compliance and transfer pricing.

In addition, the Director of Tax will be responsible to:

  • Review and manage the preparation and review of the worldwide income tax provision including the preparation of the ASC 740 calculations, current and deferred analysis, technical review of tax accounting positions (FIN48, 123R, FAS141R purchase accounting, valuation allowance analysis APB 23 Assertion), tax account reconciliations and return-to-provision reconciliation.
  • Review of quarterly and annual closing processes including SEC reporting obligations.
  • Review documentation of the proper accounting and analysis of transfer pricing issues.
  • Provide accurate technical research memos regarding quarterly/yearend events.
  • Provide tax support across all business units, including headquarters and regions.
  • Monitor proposed and newly enacted tax legislation and effectively communicate relevant developments to management and business units worldwide.
  • Review of TP analyses and required TP documentation; and coordination and communication with advisors internally and externally.

Senior Vice President Tax – Family Office (Los Angeles, CA)

TaxConnections has been retained by a billionaire client in the Los Angeles, CA area with real estate and media holdings.

Key Responsibilities:

Responsibilities include overseeing global tax strategy, tax planning and compliance; review the filing of all domestic and international corporate, personal, partnership and other income and indirect tax returns; and implementing and managing company’s income tax and indirect tax compliance activities (partially insourced and partially outsourced); advise senior management regarding the impact and tax liabilities; and supervision of an outstanding, incumbent tax team.

The Senior Vice President of Tax will lead acquisition structuring and due diligence including tax integration efforts.

  • Research and analysis of tax issues; working with external advisors on domestic and foreign authoritative tax laws, corporate strategies, decisions, regulations and rulings.
  • Oversee all tax-related payments; review and preparation of income tax projections for cash flow modeling
  • Liaise with domestic and foreign business units, and external service providers, on tax matters and issues related to their operations and/or employees (income tax, VAT, withholding tax, property etc.)
  • Manage the coordination of audits and inquiries by various taxation authorities.
  • Monitor proposed and newly enacted tax legislation and effectively communicate relevant developments to management.

Key Competencies:

  • The Senior Vice President Tax will work directly with family office CFO in identifying and developing effective tax strategies and planning techniques to minimize overall tax burden of consolidated group of companies and minimize overall costs associated with the tax structure.
