This is a complicated question but I will try to make it as simple as possible. Generally, the best option is the LLC since the members get basis for loans on the property and provides a better legal protection than does the partnership structure. The sub-S doers not get owners basis from debt. In all cases, losses are only deductible to the extent of basis in the entity.
